Terms of Service

TofuFactory is pre-launch. These Terms are written in plain English and cover your use of this marketing site (tofufactory.dev) and the TofuFactory desktop application. If anything here is unclear, email us at sales@tofufactory.dev.

1. Acceptance

By accessing this site at tofufactory.dev, joining our waitlist, or installing and using the TofuFactory desktop application, you agree to these Terms. If you do not agree, please do not use the site or the application.

2. The TofuFactory Desktop Application

TofuFactory is a local-first desktop application for macOS, Windows, and Linux that orchestrates AI coding agents on your own machine. We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the application:

  • Free for individuals: Individual use is free, forever. No account or payment is required to run the app on your own machine.
  • Paid plans: Team and Enterprise plans add shared queues, central policy, ChatOps, and security controls under the plan terms presented at purchase.
  • License keys: Premium licenses are validated periodically against our licensing server. You may not share, resell, sublicense, or circumvent license keys, and you may not reverse engineer the application except where that restriction is prohibited by law.
  • Your environment, your responsibility: Because TofuFactory runs locally and acts on the repositories and commands you point it at, you are responsible for reviewing the changes it produces before you merge, deploy, or otherwise rely on them.

3. Third-Party AI Providers

TofuFactory works with AI providers (such as Anthropic, Google, OpenAI, and Qwen) using your own credentials. Your interactions with those providers are governed by their respective terms of service and pricing. You are responsible for your provider accounts, usage costs, and for complying with each provider's acceptable-use policies. We are not a party to and are not responsible for those services.

4. Acceptable Use

You agree not to:

  • Scrape the site at scale or attempt to bypass any rate limiting.
  • Probe, scan, or test the vulnerability of the site or any TofuFactory-operated service without our prior written permission.
  • Submit information you don't have the right to share, including the personal data of third parties.
  • Use TofuFactory, or any output it produces, to build or deploy software that harms others or violates applicable law.
  • Misrepresent your identity or your license status, or use the application in a way that infringes our or a third party's intellectual property rights.

5. Intellectual Property

TofuFactory, including the application, this website, and our trademarks and logos, is owned by us and protected by intellectual property laws. Third-party open source components are licensed under their own terms — see our Licenses page. Code you write and the output your AI providers generate on your machine belong to you; we claim no rights over your repositories or their contents.

6. No Warranties; Limitation of Liability

The site and the application are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do our best to keep them accurate, secure, and available, but we do not guarantee uptime, accuracy, or that AI-generated output will be correct or fit for any purpose.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of your use of the site or the application is limited to the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars (US $100). We are not liable for indirect, incidental, or consequential damages. This limitation does not apply where prohibited by law.

7. Changes & Termination

We may update these Terms from time to time. Material changes will be posted here before they take effect, and continued use after that date constitutes acceptance. We may suspend or restrict access to the site or the application (in whole or for a specific user) if we reasonably believe the acceptable-use terms have been violated. You may stop using TofuFactory at any time; the local application keeps working on your machine independent of your account status, subject to license validation for premium features.

8. Governing Law & Contact

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or your use of the site or application will be resolved in the state or federal courts located in Delaware.
